Allison Stelter is a tax lawyer who focuses her practice on corporate taxation, the taxation of real estate investment trusts (REITs), partnerships, other pass-through entities, mergers and acquisitions, and financial products taxation. She also advises clients generally on various aspects of U.S. federal income and withholding taxation. She has counseled REITs on acquisitions transactions including tax protection agreements, investment structuring, taxable REIT subsidiary structures, mezzanine loans, and distressed debt; represented REITs in securitized debt transactions, merger and acquisition transactions, reorganizations, and subsidiary spin-offs; and evaluated and structured various securitization, resecuritization, debt, and grantor trust transactions.
